SECTION  637

 

DELEGATION BY CENTRAL GOVERNMENT OF

ITS POWERS AND FUNCTIONS

 

Powers delegated to Regional Directors and Registrars - Notification issued under clause (b) in supersession of GSR 171; dated 1-9-1966

 

Notification 1

In exercise of the powers conferred by clause (b) of sub-section (1) of section 637 of the Companies Act, 1956 (1 of 1956), and in supersession of the Notification of  the Government of India, in the Ministry of Finance (Department of Company Affairs and Insurance), No.GSR 71 dated 1-1-1966, the Central Government--

 

(i) hereby delegates to the Regional Directors of the company Law Board at Bombay, Calcutta, Madras and Kanpur also, the powers and functions of the Central Government under the following provisions of the said Act, namely :

                     Section 22,

                     Section 25,

                      Sub-section (1) of section 31,

                     Clause (aa) of sub-section (6) of section 43A,

                      Section 167,

                      Sub-sections (3), (4), (7) and clause (a) of sub-section (8) of section 224,

                      Section 394A,

                      Second proviso to sub-section (5) of section 439 and sub-section (6) of

                      the said section.

                      Clause (a) of sub-section (1) of section 496,

                       Clause (a) of sub-section (1) of section 508,

                       Sub-section (1) of section 551,

                       Clause (b) of sub-section (7) of section 555 and the proviso to clause (a)

                       of  sub-section (9) of the said section.

                       Proviso to sub-section (1) of section 610,

                       Section 627

(ii) further directs that every Regional Director shall exercise his powers and perform the functions so delegated to him subject to the control of the Company Law Board.

 

This notification shall come into force on 1st July, 1985.

Notification 2

 

In exercise of the powers conferred by clause (b) of sub-section (1) of section 637 of the companies Act, 1956 (1 of 1956), the Central Government hereby delegates to the Registrars of Companies, the powers and functions of that government under the following provisions of the said Act, namely:

 

                Section 21

                Sub-section (4) of section 43A

                Sub-section (1D) of section 108:

 

Provided that the powers and functions under sub-section (1D) of section 108 shall be exercised and performed either by the Registrar of Companies of the State in which the registered office of the company is situated, or by the Registrar of Companies of the State in which the transferee ordinarily resides)

 

The Central Government further directs that every Registrar of Companies shall exercise his powers and perform his functions so delegated to him subject to the control of the company Law Board.

This notification shall come into force on 1st July, 1985.

Notification 3

1. In exercise of the powers conferred by clause (b) of sub-section (1) of section 637 of the companies Act, 1956 (1 of 1956), and in partial modification of the notification of the Government of India in the late Ministry of Finance (Department of company Affairs and Insurance), No. GSR 71, dated 1-1-1966 and in supersession of the notification of the Government of India in the Ministry of Law, Justice and company Affairs (Department of company Affairs), No. SO 1028, dated 30-3-1978,, the Central Government hereby delegates the powers and functions of that Government under clause (b) of sub-section (7) of section 555 of the said Act to the officers specified in column (1) of the Table below for making an order under that clause for payment of the sums specified in the corresponding entry in column (2) of the said Table, namely:

2. The Central Government further directs that the Registrars of companies and the Regional Directors shall exercise the powers and perform the functions so delegated to them subject to the control of the company Law Board.
